Situation

Wright & Filippis, Inc. (“W&F”, or the “Company”), based in Rochester Hills, Michigan, is the largest family-owned provider of prosthetics, orthotics, sleep therapy, respiratory and durable medical equipment (DME) and related supplies in the Midwest, and the Michigan market share leader with over 30 locations across the State.

W&F engaged in a strategic review of its operations and decided to refocus on its core Prosthetics, Orthotics, Mobility and Accessibility service lines. The Company identified several non-core, non-clinical service lines to divest, including Sleep Therapy, Respiratory and DME.

Solution

The Company engaged Amherst Partners (“Amherst”) to lead a sale process for its non-core Sleep Therapy, Respiratory and DME service lines that would maximize value and, importantly, secure a buyer that would maintain Wright & Filippis’ commitment to patient care.

Results

Amherst approached a select group of strategic buyers. The Company ultimately completed a transaction with Lincare, Inc. (“Lincare”).

Lincare, based in Clearwater, Florida, is a leading provider of medical equipment, in-home respiratory care and infusion therapy services. Lincare operates as a subsidiary of The Linde Group (DB:LIN), a global, ~$23 billion industrial gas and engineering company headquartered in Munich, Germany.

The transaction represented a significant step in the Company’s ultimate goal of refocusing on its core Prosthetics, Orthotics, Mobility and Accessibility businesses. The transaction was also successful in identifying a partner that would continue to serve its significant patient base while at the same time maintaining Wright & Filippis’ commitment to patient care.

The acquisition of W&F’s Sleep Therapy, Respiratory and DME service lines provided Lincare with an immediate market share leadership position in the State of Michigan.

Lincare will continue to serve W&F’s former Sleep Therapy, Respiratory and DME patients within existing W&F markets.
