Ross Casting & Innovation, LLC (“RCI”, or the “Company”), headquartered in Sidney, Ohio, is a global leader in the engineering and manufacturing of cast aluminum cold-side turbocharger impellers for commercial diesel and passenger car applications.
Over the course of its 80-year history, RCI has developed aluminum casting processes and technologies that constitute an unrivaled depth of proprietary materials and manufacturing expertise. In the last decade, the Company established joint ventures in India and China to exploit significant growth opportunities in those markets.
RCI and its joint ventures enjoy a premier reputation and long-standing relationships with the major turbocharger manufacturers across the globe, including BorgWarner, Cummins and Honeywell International.
The Company is a subsidiary of Revere Industries, an Indiana-based diversified manufacturer of metal and plastic components for aerospace, automotive and appliance end markets, itself a portfolio company of California-based Tennenbaum Capital Partners.
The Company engaged Amherst Partners to lead a sale process that would maximize value and identify a global partner with the manufacturing expertise and capital resources to maintain the Company’s market leading position as the dominant worldwide supplier of turbocharger impellers.
Amherst received multiple indications of interest from strategic and financial parties. The Company ultimately completed a transaction with ABI-Showatech (India) Limited (“ABI”).
ABI, an affiliate of India’s TVS Group, enjoys strategic relationships with a variety of global Tier I automotive suppliers, including BorgWarner and TRW. The shareholders of ABI viewed RCI as a springboard to increase its penetration into the global turbocharger market.
The transaction provided Revere Industries with liquidity and will allow RCI’s existing management team to continue to oversee the growth of the Company.
