KSR International Co. (“KSR”, or the “Company”), based in Ridgetown, Ontario, Canada, is a leading, Tier One automotive supplier engaged in the design, engineering and manufacture of an array of automotive products, including sensors, electronic throttle controls, and adjustable and fixed pedals.
As the result of a strategic review of its operations, KSR identified a number of growth opportunities, both organic and inorganic, pertaining to its core business lines. The Company elected to pursue an acquisition strategy aimed at significantly enhancing the size, scope and technical capabilities of its automotive sensor business.
KSR engaged Amherst Partners (“Amherst”) to advise in developing an acquisition process for the Company, including market research, target identification and screening, outreach, evaluation and deal facilitation.
Amherst engaged in strategic dialogue with a number of potential target companies. The Company ultimately completed a transaction with Electronic Motion Systems Holdings Limited (“EMS”).
EMS, based in Swansea, Wales, United Kingdom, is a leading supplier of custom control modules and systems for power conversion and electric motor drive markets. EMS maintains a manufacturing facility in Swansea, Wales and a development center in Halifax, Nova Scotia.
KSR’s acquisition of EMS adds significant breadth and scale to KSR’s sensor product offering. EMS brings KSR specific expertise in engineering and manufacturing of control modules for power steering systems, MOSFET power modules and modules used for cabin climate control systems, engine cooling systems and alternator voltage regulators.
